COURSIVITY<\/strong><\/p>\n\n\n\n

Terms of Service<\/strong><\/p>\n\n\n\n

By accessing or using coursivity.com (the \u201cWebsite\u201d<\/strong> or \u201cPlatform\u201d<\/strong>), you agree to be bound by these Terms of Service (\u201cTerms\u201d<\/strong>). If you do not agree with any part of these Terms, you must immediately cease all use of the Platform. Continued use after disagreement constitutes unauthorised access and Coursivity reserves all rights and remedies in respect thereof.<\/p>\n\n\n\n

These Terms constitute a legally binding agreement between you and Flava Machines (Pty) Ltd  owner of the website Coursivity, (\u201cFlava Machines\u201d<\/strong> \u201cCoursivity\u201d<\/strong>, \u201cwe\u201d<\/strong>, \u201cus\u201d<\/strong>, or \u201cour\u201d<\/strong>) a company registered in the Republic of South Africa.<\/p>\n\n\n\n

1. Definitions<\/h2>\n\n\n\n

\u201cGuest\u201d or \u201cStudent\u201d<\/strong> means any individual who accesses, browses, enrols in, or purchases Courses or Digital Products on the Platform.<\/p>\n\n\n\n

\u201cVendor\u201d, \u201cInstructor\u201d, or \u201cService Provider\u201d<\/strong> means any individual or entity that registers on the Platform to create, publish, sell, or distribute Courses, digital downloads, or other educational products and services.<\/p>\n\n\n\n

\u201cCourse\u201d<\/strong> means any online course, lesson, module, tutorial, webinar, digital download, or educational material published by a Vendor on the Platform.<\/p>\n\n\n\n

\u201cContent\u201d<\/strong> means all text, video, audio, images, documents, quizzes, assessments, code, and any other material uploaded, created, or distributed by a Vendor through the Platform.<\/p>\n\n\n\n

\u201cPlatform\u201d<\/strong> means the Coursivity website, mobile applications, APIs, and all associated software, tools, and services provided by Coursivity.<\/p>\n\n\n\n

\u201cPayment Processor\u201d<\/strong> means the independent third-party payment service provider chosen by the Vendor to process transactions for their Courses and Digital Products.<\/p>\n\n\n\n

2. Nature of the Platform<\/h2>\n\n\n\n

2.1 Software-Only Platform<\/h3>\n\n\n\n

Coursivity is a software platform that provides Vendors with tools to create, host, market, and sell their own Courses and Digital Products. Coursivity does not create, author, edit, review, verify, endorse, certify, or guarantee any Course Content published by Vendors.<\/strong> The Platform is a technology intermediary only.<\/p>\n\n\n\n

2.2 No Educational Institution<\/h3>\n\n\n\n

Coursivity is not<\/strong> an educational institution, accredited body, training provider, university, school, or certification authority. The Platform does not grant degrees, diplomas, certificates of competency, or any form of academic accreditation. Any certificates of completion issued through the Platform are generated by Vendor configuration and represent only that a Student has completed the Vendor\u2019s Course modules as defined by the Vendor. Coursivity makes no representation as to the academic, professional, or regulatory value of any such certificate.<\/p>\n\n\n\n

2.3 No Employer-Employee or Agency Relationship<\/h3>\n\n\n\n

Vendors are independent parties and not employees, agents, joint venturers, or partners of Coursivity. Coursivity exercises no editorial control, quality assurance, or supervision over Vendor Content. The relationship between Coursivity and any Vendor is strictly that of a technology service provider and its customer.<\/p>\n\n\n\n

2.4 Direct Contractual Relationship<\/h3>\n\n\n\n

When a Student purchases or enrols in a Course, the Student enters into a direct contractual relationship with the Vendor. Coursivity is not a party to that contract. The Vendor\u2019s own terms and conditions, cancellation policy, and refund policy govern the Student-Vendor relationship. Coursivity has no obligation or liability arising from or in connection with any such Vendor-Student contract.<\/strong><\/p>\n\n\n\n

3. Course Content Disclaimer<\/h2>\n\n\n\n

3.1 No Warranty on Content<\/h3>\n\n\n\n

ALL COURSE CONTENT IS PROVIDED BY VENDORS ON AN \u201cAS IS\u201d AND \u201cAS AVAILABLE\u201d BASIS.<\/strong> Coursivity makes absolutely no warranties, representations, or guarantees, whether express, implied, statutory, or otherwise, regarding:<\/p>\n\n\n\n

    \n
  • the accuracy, completeness, correctness, reliability, or currency of any Course Content;<\/li>\n\n\n\n
  • the quality, suitability, or fitness for any particular purpose of any Course;<\/li>\n\n\n\n
  • the qualifications, expertise, credentials, or competence of any Vendor or Instructor;<\/li>\n\n\n\n
  • whether any Course Content complies with applicable laws, regulations, industry standards, or professional codes of conduct;<\/li>\n\n\n\n
  • the safety, legality, or appropriateness of any advice, instructions, techniques, or methods contained in any Course;<\/li>\n\n\n\n
  • whether any Course will achieve any specific learning outcome, career advancement, professional qualification, or financial result; or<\/li>\n\n\n\n
  • whether any information in a Course is free from errors, omissions, inaccuracies, or outdated material.<\/li>\n<\/ul>\n\n\n\n

    3.2 Student Assumption of Risk<\/h3>\n\n\n\n

    Students acknowledge and agree that they access and rely on all Course Content entirely at their own risk. Students are solely responsible for independently verifying any information, advice, or instruction obtained from a Course before acting upon it. This is particularly important for Content relating to health, medical, financial, legal, safety-critical, or regulated matters. Coursivity shall have no liability whatsoever for any loss, damage, injury, or harm arising from a Student\u2019s reliance on any Course Content.<\/strong><\/p>\n\n\n\n

    3.3 No Endorsement<\/h3>\n\n\n\n

    The availability of a Course on the Platform does not constitute a recommendation, endorsement, approval, or certification by Coursivity of the Course, its Content, or the Vendor. Coursivity does not vet, audit, fact-check, peer-review, or independently verify Vendor-submitted Content.<\/p>\n\n\n\n

    3.4 Third-Party Materials<\/h3>\n\n\n\n

    Courses may contain links to third-party websites, tools, software, resources, or services. Coursivity is not responsible for, does not endorse, and assumes no liability for any third-party content, products, services, or practices.<\/p>\n\n\n\n

    4. Vendor Responsibilities and Obligations<\/h2>\n\n\n\n

    4.1 Content Ownership and Accountability<\/h3>\n\n\n\n

    Each Vendor is solely and exclusively responsible for all Content they publish on the Platform. By publishing Content, Vendors represent and warrant that:<\/p>\n\n\n\n

      \n
    • they are the lawful owner or authorised licensee of all Content and have full legal right to distribute it;<\/li>\n\n\n\n
    • the Content does not infringe any intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;<\/li>\n\n\n\n
    • the Content is accurate, not misleading, and fit for the purpose described in the Course listing;<\/li>\n\n\n\n
    • the Content complies with all applicable national and international laws, regulations, and professional standards;<\/li>\n\n\n\n
    • they possess the qualifications and expertise they claim in their Vendor profile and Course descriptions; and<\/li>\n\n\n\n
    • they will maintain accurate, current, and complete Course information at all times.<\/li>\n<\/ul>\n\n\n\n

      4.2 Prohibited Content<\/h3>\n\n\n\n

      Vendors shall not publish Content that:<\/p>\n\n\n\n

        \n
      • is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;<\/li>\n\n\n\n
      • promotes illegal activities, violence, discrimination, or hate speech;<\/li>\n\n\n\n
      • contains malware, viruses, or any harmful code;<\/li>\n\n\n\n
      • infringes any patent, trademark, trade secret, copyright, or other proprietary right;<\/li>\n\n\n\n
      • constitutes unauthorised practice of law, medicine, finance, or any other regulated profession; or<\/li>\n\n\n\n
      • is intentionally inaccurate, deceptive, or designed to mislead Students.<\/li>\n<\/ul>\n\n\n\n

        4.3 Vendor Indemnification<\/h3>\n\n\n\n

        Vendors agree to indemnify, defend, and hold harmless Coursivity, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (i) the Vendor\u2019s Content; (ii) any breach of these Terms by the Vendor; (iii) any violation of applicable law by the Vendor; or (iv) any dispute between the Vendor and a Student.<\/p>\n\n\n\n

        4.4 Vendor Terms and Conditions<\/h3>\n\n\n\n

        Each Vendor must publish their own Terms and Conditions, including cancellation and refund policies, which shall be presented to Students prior to purchase. Coursivity is not responsible for the content, enforceability, or compliance of any Vendor\u2019s terms.<\/p>\n\n\n\n

        5. Use of the Platform<\/h2>\n\n\n\n

        5.1 Eligibility<\/h3>\n\n\n\n

        To use the Platform, you must:<\/p>\n\n\n\n

          \n
        • be at least 18 years of age or the age of legal majority in your jurisdiction;<\/li>\n\n\n\n
        • have the legal capacity to enter into a binding contract;<\/li>\n\n\n\n
        • provide truthful, accurate, current, and complete information when registering or making a purchase; and<\/li>\n\n\n\n
        • use the Platform solely for lawful purposes and in compliance with these Terms.<\/li>\n<\/ul>\n\n\n\n

          5.2 Account Security<\/h3>\n\n\n\n

          You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Coursivity immediately of any unauthorised use of your account.<\/p>\n\n\n\n

          5.3 Prohibited Conduct<\/h3>\n\n\n\n

          You agree not to:<\/p>\n\n\n\n

            \n
          • use the Platform for any unlawful, fraudulent, or competitive purpose;<\/li>\n\n\n\n
          • copy, reproduce, mirror, frame, scrape, spider, crawl, or otherwise extract content from the Platform by automated or manual means;<\/li>\n\n\n\n
          • reverse-engineer, decompile, or disassemble any part of the Platform\u2019s software;<\/li>\n\n\n\n
          • attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems;<\/li>\n\n\n\n
          • impose an unreasonable or disproportionately large load on the Platform\u2019s infrastructure;<\/li>\n\n\n\n
          • share, redistribute, or resell Course Content without the express written permission of the Vendor; or<\/li>\n\n\n\n
          • violate any robot exclusion headers or other access-limitation measures employed by the Platform.<\/li>\n<\/ul>\n\n\n\n

            6. Purchases and Payments<\/h2>\n\n\n\n

            6.1 Transaction Structure<\/h3>\n\n\n\n

            When a Student purchases a Course, the payment is processed through the Vendor\u2019s chosen Payment Processor. Coursivity facilitates the transaction through its software but does not receive, hold, control, or have access to the funds paid by the Student.<\/strong> Payment is made directly to the Vendor\u2019s merchant account via the Payment Processor.<\/p>\n\n\n\n

            6.2 Confirmation<\/h3>\n\n\n\n

            A purchase is confirmed only when: (i) the Student is a legal adult using an authorised payment method; (ii) correct identity and contact details are provided; (iii) the Vendor\u2019s Terms and Conditions are accepted by the Student; and (iv) payment is successfully processed.<\/p>\n\n\n\n

            6.3 Pricing<\/h3>\n\n\n\n

            All Course pricing is set exclusively by the Vendor. Coursivity does not determine, control, or guarantee the accuracy of any pricing displayed. In the event of a pricing error, the Vendor bears sole responsibility.<\/p>\n\n\n\n

            6.4 Fraudulent Transactions<\/h3>\n\n\n\n

            Coursivity reserves the right to suspend or terminate any account and cancel any purchases associated with suspected fraudulent, speculative, or abusive activity. Coursivity further reserves the right to pursue legal action and recover all losses, including litigation costs and damages.<\/p>\n\n\n\n

            7. Refunds and Cancellations<\/h2>\n\n\n\n

            All refund and cancellation requests are governed exclusively by the individual Vendor\u2019s Terms and Conditions as accepted by the Student at the time of purchase. Students must direct all refund claims to the Vendor directly using the contact details provided on the purchase confirmation. Coursivity is not responsible for processing, approving, denying, or facilitating any refunds.<\/strong> Refund payments, if approved by the Vendor, are made from the Vendor\u2019s account directly to the Student.<\/p>\n\n\n\n

            Coursivity assumes no liability whatsoever for any acts, omissions, delays, or failures of any Vendor in relation to refund requests.<\/p>\n\n\n\n

            8. Intellectual Property<\/h2>\n\n\n\n

            8.1 Platform IP<\/h3>\n\n\n\n

            All intellectual property in the Platform\u2019s software, design, user interface, branding, trademarks, logos, and proprietary technology belongs exclusively to Coursivity. No licence or right is granted to any user to use, copy, modify, or distribute any of Coursivity\u2019s intellectual property except as expressly permitted by these Terms.<\/p>\n\n\n\n

            8.2 Vendor Content IP<\/h3>\n\n\n\n

            Vendors retain full ownership of all original Content they upload to the Platform. By publishing Content on the Platform, Vendors grant Coursivity a non-exclusive, worldwide, royalty-free licence to host, display, distribute, reproduce, and cache the Content solely for the purpose of operating and promoting the Platform and delivering Courses to enrolled Students.<\/p>\n\n\n\n

            8.3 Student Use<\/h3>\n\n\n\n

            Students are granted a limited, non-exclusive, non-transferable, revocable licence to access Course Content for personal, non-commercial educational purposes only. Students may not copy, redistribute, resell, publicly perform, or create derivative works from any Course Content without the express written consent of the Vendor.<\/p>\n\n\n\n

            9. Limitation of Liability<\/h2>\n\n\n\n

            9.1 General Limitation<\/h3>\n\n\n\n

            TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COURSIVITY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR IN CONNECTION WITH:<\/strong><\/p>\n\n\n\n

              \n
            • your use of or inability to use the Platform;<\/li>\n\n\n\n
            • any Course Content, including inaccurate, incomplete, misleading, or harmful Content;<\/li>\n\n\n\n
            • any conduct of any Vendor, Student, or third party on or through the Platform;<\/li>\n\n\n\n
            • any unauthorised access to, alteration of, or loss of your data or transmissions;<\/li>\n\n\n\n
            • any reliance placed by you on any Course Content, Vendor information, or reviews; or<\/li>\n\n\n\n
            • any other matter relating to the Platform, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Coursivity has been advised of the possibility of such damages.<\/li>\n<\/ul>\n\n\n\n

              9.2 Aggregate Cap<\/h3>\n\n\n\n

              In no event shall Coursivity\u2019s total aggregate liability to you for all claims arising from or relating to these Terms or your use of the Platform exceed the lesser of: (i) the total fees actually paid by you to Coursivity (not to Vendors) in the twelve (12) months preceding the claim; or (ii) ZAR 1,000 (one thousand South African Rand).<\/p>\n\n\n\n

              9.3 Exclusion of Liability for Course Content<\/h3>\n\n\n\n

              WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, COURSIVITY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSS, DAMAGE, INJURY, OR HARM OF ANY KIND (INCLUDING PHYSICAL, FINANCIAL, PROFESSIONAL, REPUTATIONAL, OR EMOTIONAL HARM) ARISING FROM OR RELATING TO ANY COURSE CONTENT, WHETHER CAUSED BY INACCURACY, ERROR, OMISSION, INCOMPLETENESS, OUTDATED INFORMATION, MISREPRESENTATION, NEGLIGENCE, OR ANY OTHER CAUSE ATTRIBUTABLE TO THE VENDOR.<\/strong><\/p>\n\n\n\n

              9.4 Force Majeure<\/h3>\n\n\n\n

              Coursivity shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, strikes, government action, utility failures, internet disruptions, or cyberattacks.<\/p>\n\n\n\n

              10. Platform Availability and Warranty Disclaimer<\/h2>\n\n\n\n

              Coursivity does not guarantee that the Platform will be uninterrupted, error-free, secure, or free of viruses, bugs, or other harmful components. The Platform is provided on an \u201cAS IS\u201d<\/strong> and \u201cAS AVAILABLE\u201d<\/strong> basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURSIVITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.<\/p>\n\n\n\n

              Coursivity may perform maintenance, upgrades, or modifications to the Platform at any time, with or without notice, which may result in temporary interruptions. Coursivity shall not be liable for any loss arising from such interruptions.<\/p>\n\n\n\n

              11. Data Protection and Privacy<\/h2>\n\n\n\n

              Coursivity is committed to protecting personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and, where applicable, the General Data Protection Regulation (GDPR). Our collection, use, and processing of personal information is governed by our separate Privacy Policy, which forms part of these Terms.<\/p>\n\n\n\n

              Users consent to the collection and processing of their personal information as necessary for the operation of the Platform, including account management, transaction processing, communication, and legal compliance. Users may exercise their rights under POPIA or GDPR, including the right of access, rectification, erasure, and objection, by contacting Coursivity\u2019s Information Officer at the details provided on the Platform.<\/p>\n\n\n\n

              Vendors are independently responsible for their own compliance with data protection legislation in respect of any personal data they collect or process through Courses, including Student data collected via Course interactions, assessments, or communications.<\/p>\n\n\n\n

              12. Reviews, Submissions, and User-Generated Content<\/h2>\n\n\n\n

              By submitting any content to the Platform, including reviews, ratings, comments, images, or other material (collectively, \u201cSubmissions\u201d<\/strong>), you grant Coursivity a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, transferable, and fully sublicensable right to use, reproduce, modify, adapt, translate, distribute, publish, display, and create derivative works from such Submissions in any media.<\/p>\n\n\n\n

              You represent that you have the right to make such Submissions and that they do not violate the rights of any third party. Coursivity reserves the right, but has no obligation, to monitor, edit, or remove any Submissions at its sole discretion. Reviews and ratings represent the personal opinions of individual users and are not endorsed by Coursivity.<\/p>\n\n\n\n

              13. Suspension and Termination<\/h2>\n\n\n\n

              Coursivity reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate any user\u2019s access to the Platform for any reason, including but not limited to: breach of these Terms, suspected fraudulent activity, abuse of the Platform, or upon request by law enforcement. Coursivity shall not be liable for any loss or damage arising from such suspension or termination.<\/p>\n\n\n\n

              Upon termination, all licences and rights granted to you under these Terms shall immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to Sections 3, 4.3, 8, 9, 14, and 15.<\/p>\n\n\n\n

              14. Indemnification<\/h2>\n\n\n\n

              You agree to indemnify, defend, and hold harmless Coursivity, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (i) your use of the Platform; (ii) your breach of these Terms; (iii) your violation of any law or regulation; (iv) your violation of any rights of a third party; or (v) any Content you publish or submit through the Platform.<\/p>\n\n\n\n

              15. Dispute Resolution and Governing Law<\/h2>\n\n\n\n

              These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.<\/p>\n\n\n\n

              Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than thirty (30) days. If the dispute cannot be resolved through negotiation, either party may refer the matter to mediation before an accredited mediator.<\/p>\n\n\n\n

              16. Changes to These Terms<\/h2>\n\n\n\n

              Coursivity reserves the right to modify, amend, or replace these Terms at any time. Material changes will be communicated by posting the updated Terms on the Platform with an updated effective date. Continued use of the Platform after any such changes constitutes acceptance of the revised Terms. Users are encouraged to review these Terms regularly.<\/p>\n\n\n\n

              17. Severability<\/h2>\n\n\n\n

              If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.<\/p>\n\n\n\n

              18. Entire Agreement<\/h2>\n\n\n\n

              These Terms, together with the Privacy Policy and any Vendor-specific Terms and Conditions, constitute the entire agreement between you and Coursivity in relation to your use of the Platform and supersede all prior agreements, understandings, representations, and communications, whether written or oral.<\/p>\n\n\n\n
